By accessing and using MarketSage ("the Service"), provided by Market Sage Africa Ltd ("we," "our," or "us"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

MarketSage is a marketing automation and customer engagement platform that provides:

• Email, SMS, and WhatsApp campaign management
• Customer relationship management (CRM)
• Marketing analytics and reporting
• AI-powered marketing insights
• Workflow automation
• Multi-channel communication tools

3. User Accounts

3.1 Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to create an account
• One person or legal entity per account

3.2 Account Security

• You are responsible for all activities that occur under your account
• Notify us immediately at support@marketsage.africa of any unauthorized use
• We are not liable for any loss or damage arising from unauthorized account access

4. Acceptable Use Policy

4.1 Prohibited Activities

You may NOT:

• Send spam or unsolicited commercial emails
• Violate any laws or regulations (GDPR, CAN-SPAM, NDPR Nigeria, POPIA South Africa, etc.)
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to any systems
• Harass, abuse, or harm others through the Service
• Impersonate any person or entity
• Collect personal data without proper consent
• Use the Service for fraudulent purposes

4.2 Compliance with Anti-Spam Laws

• You must comply with all applicable anti-spam laws including CAN-SPAM (US), GDPR (EU), NDPR (Nigeria), and POPIA (South Africa)
• You must obtain proper consent before sending marketing communications
• You must honor unsubscribe requests immediately

5. Payment and Billing

5.1 Subscription Plans

• Service is provided on a subscription basis
• Pricing is available at https://marketsage.africa/pricing
• All fees are quoted in Nigerian Naira (₦) unless otherwise specified
• Prices are subject to change with 30 days advance notice

5.2 Payment Terms

• Payments are processed through secure third-party providers (Paystack)
• Subscriptions auto-renew unless cancelled before renewal date
• 14-day money-back guarantee for paid plans
• Applicable taxes (VAT, etc.) will be added as required by law

6. Data Privacy and Security

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.1 Data Security

• We implement industry-standard security measures including encryption, access controls, and regular security audits
• However, no system is 100% secure and we cannot guarantee absolute security
• You are responsible for backing up your data

7. Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKET SAGE AFRICA LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount you paid us in the 12 months preceding the claim

8. Termination

8.1 By You

You may terminate your account at any time through account settings or by contacting support@marketsage.africa.

8.2 By Us

We may terminate or suspend your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent activity or abuse the Service
• Required by law or government request
